1. Overview
MantaRay is a cross-platform VPN client. The app allows you to connect to VPN, proxy and encrypted-transport servers that you obtain and configure yourself. We do not operate VPN servers, sell VPN subscriptions, or proxy your traffic; we ship a tool that you point at the servers of your choice.
By downloading, installing, or otherwise using the software you agree to these Terms and to our Privacy Policy. If you do not agree, do not install or use the software.
2. Licence to use the app
Subject to these Terms, Mantatech Ltd grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, for your own non-commercial or commercial use. You may not:
- Copy, modify, reverse-engineer, decompile or disassemble the app, except to the extent expressly permitted by applicable law that cannot be excluded by contract;
- Sub-licence, sell, lease, rent, distribute or otherwise transfer the app to third parties;
- Remove or alter copyright, trademark or other proprietary notices contained in the software;
- Use the software in any way that infringes third-party rights, including intellectual property and privacy rights.
Open-source components included in the software remain governed by their respective licences. A list of those components and their licences is available from within the app and on request to legal@mantatech.ltd.
3. Your servers, your responsibility
All VPN, proxy and subscription servers you configure in the app are operated by you or by third parties that you select. You are solely responsible for:
- Choosing and configuring your servers and subscriptions;
- Compliance with the laws and regulations applicable in your jurisdiction (including, where relevant, regulations on encryption, anonymisation and circumvention tools);
- Any agreements you have with subscription providers, server hosts, networks or employers regarding the use of VPN or proxy software;
- The content of the traffic you route through the software.
Mantatech Ltd has no visibility into and accepts no responsibility for the servers or subscriptions you choose, the traffic you route through them, or any consequences of your use of those servers.
4. Acceptable use
You agree that you will not use the software to:
- Engage in or facilitate any criminal activity, including but not limited to fraud, distribution of child sexual abuse material, hacking, or unauthorised access to systems;
- Distribute malware, run denial-of-service attacks or otherwise abuse third-party networks;
- Bypass technical measures of services in a way that violates the terms of those services and applicable law;
- Attempt to compromise the integrity of the app, the MantaRay-Core engine, or the mantarayd daemon.
We may, at our discretion, suspend update delivery and distribution of the app to a device, or refuse to provide further assistance, if we have reasonable grounds to believe these Terms are being breached.
5. No warranty
The software is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the software will be uninterrupted, error-free, free of harmful components, or that defects will be corrected.
The software is a tool that depends on third-party servers and networks; we cannot and do not warrant the performance, availability, security, or content of those servers and networks.
6. Limitation of liability
To the maximum extent permitted by law, neither Mantatech Ltd nor its directors, employees or licensors will be liable to you for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business, goodwill or anticipated savings, arising out of or in connection with your use of, or inability to use, the software, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with the software in any twelve-month period shall not exceed the greater of (a) the amount you paid Mantatech Ltd for the software during that period and (b) £100. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
7. Third-party services
The software may interoperate with third-party services such as Apple iCloud, Apple Push Notification Service, and Google Firebase Cloud Messaging. Your use of those services is subject to the respective providers' terms. Mantatech Ltd is not responsible for third-party services or for any interruption to them.
8. Apple App Store additional terms
The following terms apply only to the version of the app downloaded from the Apple App Store. They are intended to comply with Apple's "Licensed Application End User License Agreement" requirements.
- These Terms are concluded between you and Mantatech Ltd only, and not with Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide any maintenance or support services in respect of the app. Any support questions should be directed to support@mantatech.ltd.
- In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you (where applicable). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
- Mantatech Ltd, not Apple, is responsible for addressing any claims by you or third parties relating to the app or your use of it, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- In the event of any third-party claim that the app or your possession and use of the app infringes intellectual property rights, Mantatech Ltd, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of such a claim.
- You represent and warrant that (a) you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and (b) you are not listed on any US Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
9. Google Play additional terms
The version of the app distributed via Google Play is also subject to the Google Play Terms of Service. If there is a conflict between these Terms and Google's terms regarding distribution of the app via Google Play, the Google Play Terms shall prevail with respect to that distribution.
10. Termination
You may terminate this agreement at any time by uninstalling the app and removing any associated VPN profiles from your devices. We may terminate or suspend your right to use the software if you materially breach these Terms. Sections that by their nature should survive termination (including liability limitations, disclaimers and governing law) will survive.
11. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that, where you are a consumer resident in the European Union or the United Kingdom, you may also bring proceedings before the courts of your place of residence.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be indicated by the "Last updated" date and announced in-app on next launch. Your continued use of the software after such an update constitutes acceptance of the revised Terms.
